General Terms and Conditions of Sale

Article 1 — Purpose and Scope

These general terms and conditions of sale (hereinafter "GTC") govern the sale of textile products and accessories by Sera & Zena (Laan van de Highlanders 41, 7207 RH Zutphen, Pays-Bas — KvK 86208624 — TVA NL004217322B81) through the website seraenzena.fr to any consumer residing in mainland France (hereinafter "the Customer"). Placing an order on the Website constitutes unconditional acceptance of these GTC.

Article 2 — Products and Prices

The products offered are those described on the Website at the time of browsing, subject to available stock. Prices are quoted in euros, inclusive of all taxes (VAT included). In accordance with regulations on the indication of price reductions (the so-called "Omnibus" regulation), any crossed-out price displayed corresponds to the lowest price charged by Sera & Zena during the thirty days preceding the application of the reduction.

Article 3 — Orders

The Customer selects the desired products, adds them to their basket, and confirms their order after reviewing the summary (products, quantities, prices, delivery address). Online payment constitutes firm and final acceptance of the order. A confirmation email is sent to the Customer as soon as possible.

Article 4 — Payment

Payment is made online at the time of ordering, by credit or debit card (Visa, Mastercard), Apple Pay, or Google Pay. Transactions are secured by our payment service provider.

Article 5 — Delivery

Delivery is free of charge, with no minimum order value, throughout mainland France. The indicative delivery time is 7 to 12 working days from the date the order is confirmed. The Customer receives a tracking number by email as soon as the order has been dispatched. For further details, please see our delivery policy.

Article 6 — Right of Withdrawal

In accordance with articles L221-18 and following of the French Consumer Code, the Customer has a period of 14 days from receipt of the product to exercise their right of withdrawal, without being required to provide a reason or pay any penalty, except, where applicable, the cost of return postage.

To exercise this right, the Customer must notify their decision to withdraw by means of an unambiguous statement — for example, by email to info@seraenzena.fr — or by using the model withdrawal form below.

The Customer then has 14 days from the date of that notification to return the product. Return costs are borne by the Customer, except in the case of a defective product or an item delivered that does not match the order, in which case the return costs are covered by Sera & Zena.

A refund will be issued within a maximum of 14 days of receipt of the returned product (or proof of dispatch), using the same payment method as that used for the original purchase.

Article 7 — Statutory Warranties

The consumer has a period of two years from delivery of the goods to seek enforcement of the statutory warranty of conformity in the event that a lack of conformity appears. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it arose.

The statutory warranty of conformity applies independently of any commercial warranty that may have been granted.

The statutory warranty of conformity entitles the consumer to have the goods repaired or replaced within thirty days of their request, at no cost and without any major inconvenience to them.

If the goods are repaired under the statutory warranty of conformity, the consumer benefits from a six-month extension to the original warranty.

If the consumer requests repair of the goods but the seller instead provides a replacement, the statutory warranty of conformity is renewed for a period of two years from the date of replacement of the goods.

The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and receive a full refund upon return of the goods, if:

1° The trader refuses to repair or replace the goods;
2° The repair or replacement of the goods takes place after a period of thirty days;
3° The repair or replacement of the goods causes a major inconvenience to the consumer, in particular where the consumer permanently bears the costs of collection or removal of the non-conforming goods, or bears the costs of installation of the repaired or replacement goods;
4° The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity.

The consumer is also entitled to a reduction in the price of the goods or to termination of the contract where the lack of conformity is so serious as to justify an immediate price reduction or termination of the contract. In such cases, the consumer is not required to first request repair or replacement of the goods.

The consumer is not entitled to rescind the sale if the lack of conformity is minor.

Any period during which the goods are held for repair or replacement suspends the remaining warranty period until the goods are returned in their remedied condition.

The rights set out above arise from the application of articles L. 217-1 to L. 217-32 of the Consumer Code.

A seller who acts in bad faith to obstruct the enforcement of the statutory warranty of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to up to 10% of average annual turnover (article L. 241-5 of the Consumer Code).

The consumer also benefits from the statutory warranty against hidden defects under articles 1641 to 1649 of the Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the consumer to a reduction in price if the goods are retained, or to a full refund upon return of the goods.

To exercise these rights, the Customer must inform Sera & Zena in writing (by post or by email to info@seraenzena.fr) of their decision to invoke the statutory warranty of conformity or the warranty against defects in the goods sold, prior to returning the product.

The text above reproduces the mandatory information box provided for by decree no. 2022-946 of 29 June 2022 (annex to article D211-2 of the Consumer Code). Sera & Zena recommends that this be reviewed by a legal professional before final implementation.

Article 8 — Consumer Mediation

In accordance with articles L616-1 and R616-1 of the Consumer Code, in the event of a dispute that cannot be resolved directly with Sera & Zena's customer service, the Customer may refer the matter free of charge to the following mediation service: [MÉDIATEUR — à compléter après adhésion].

Article 9 — Extended Producer Responsibility (EPR)

Sera & Zena is represented in France, for the textiles sector (Refashion) and packaging sector (CITEO), by an approved representative. Unique Identification Number (UIN): [IDU ADEME — à compléter].

Article 10 — Personal Data

The processing of the Customer's personal data is described in our privacy policy.

Article 11 — Governing Law and Language

These GTC are drafted in French and are governed by French law. In the event of a dispute, the competent French courts shall have sole jurisdiction, without prejudice to any mandatory statutory provisions protecting the consumer.
